gourmait didn't start as a startup. It started as a breaking point.
I'm a mother and a corporate executive. My weeks are built on back-to-back client deadlines, deliverables, and the kind of mental load that doesn't clock out when you walk through the door. There was one particular week. I don't think I need to describe it in detail, because if you're reading this, you probably know exactly what it felt like, where everything collided. Too many deadlines. Not enough hours. And somehow, on top of all of it, the weight of figuring out what to feed my family every single day.
It wasn't just the grocery run I didn't have time for. It was the mental tax of deciding. Planning. Remembering what everyone could and couldn't eat. Wondering if I had what I needed or if I needed to stop somewhere. And then cooking. Every day. Like a separate full-time job that nobody scheduled and everyone just expected.
I'd built my career helping organizations manage risk and complexity. I knew how to design systems that held up under pressure. But there was no system for this, for the daily operational burden of feeding a household when you are already running on empty.
So I built one. I built Celeste, an AI that learns your household like a family member would. A protection system, not a suggestion engine
If a meal conflicts with an allergy or health flag on any profile in your household, it doesn’t show up with a caution icon. It doesn’t appear at all. The conflict is a hard block, not a soft warning — because a warning assumes you have the attention to read it, and we already know that by dinnertime, you might not.

Service(s) means automated and personalized meal planning and grocery fulfillment services.
Subscriber means the natural or legal person who has subscribed to the Service(s) by agreeing to the Terms.
Terms means the binding contract between the Company and Subscriber that governs the Subscriber's access and use of the Service(s).
2. Data Collection
The Subscriber directly provides the Company with most of the data we collect. We collect Personal Data from the following sources:
Information You Provide Directly
Data entered during account setup, such as your name, contact details, delivery address, and payment information. This also includes "User-Input Data" specific to our service, such as dietary preferences, food allergies, health goals, and manual modifications to your meal plans.
Automated Technical Data
When you interact with our platform, we automatically collect data via cookies and similar technologies. This includes your IP address, device type, and "Usage Data" such as the recipes you view, items you remove from your cart, and your interaction with AI-generated suggestions. Third-Party Partners
We receive information from grocery retailers and fulfillment partners regarding your order status, item availability, and final transaction totals. We may also receive data from social media platforms if you choose to link your account.
Inferred Data
Our AI models generate "Inferred Data" based on your historical interactions. For example, we may infer a preference for certain cuisines or specific shopping frequencies to better automate your fulfillment schedule.
3. Processing of Personal Data
The Company processes the Subscriber's Personal Data to:
Service Personalization: Train and refine our AI algorithms to generate meal plans aligned with your caloric needs, taste preferences, and dietary restrictions.
Grocery Fulfillment: Facilitate the purchase and delivery of items from third-party retailers to your designated address.
Safety & Compliance: Ensure AI-generated recipes strictly adhere to the allergy and health constraints you have provided.
Platform Optimization: Analyze aggregate user behavior to improve predictive accuracy and fix technical bugs.
The Company generally collects Personal Data only where it needs to create or perform a contract with the Subscriber, where processing is in the Company's legitimate interests and not overridden by the Subscriber's data protection interests or fundamental rights, or where the Company has the Subscriber's consent. In some cases, we may also have a legal obligation to collect Personal Data.
If the Company processes Personal Data with the Subscriber's consent, the Subscriber may withdraw that consent at any time.
4. Sharing of Personal Data
The Subscriber acknowledges that the Company may share Personal Data with its group companies and third-party service providers to offer the Service(s) and send information or updates about them.
When processing an order, the Company may send the Subscriber's Personal Data to, and use resulting information from, credit reference agencies to prevent fraudulent purchases.
The Company shares Personal Data in the following instances:
Fulfillment Partners: We share your shopping list and delivery address with third-party grocery retailers and delivery services to complete your orders.
Service Providers: We share data with secure infrastructure partners, such as payment processors (to handle billing) and cloud hosting providers (to run our AI models).
Model Training (Anonymized): We may use de-identified or aggregated data to improve our global AI meal-planning engine. This data is stripped of all personally identifiable information before use.
Legal Requirements: We may disclose information if required by law, such as to comply with a subpoena or similar legal process, or to protect the safety and rights of our users. We may share anonymized input data with third-party AI processors to generate meal suggestions.
Our Commitment

5. Retention of Personal Data
The Company retains Personal Data while an ongoing legitimate business need requires retention. In the absence of such a need, the Company will either delete or aggregate it. If that is not possible, the Company will securely store your Personal Data and isolate it from any further processing until it can be deleted.
6. Security of Personal Data
The Company uses appropriate technical and organizational measures to protect the Personal Data it collects and processes, designed to provide a high level of security appropriate to the risk. These terms and conditions (the "Terms") are made between Gourmai Inc. (the "Developer"), incorporated at 2810 N Church Street, Wilmington, DE 19802, and Gourmai Inc. consumers (the "User"). These Terms govern the User's use of the Gourmait mobile application (the "Product"). The Product is owned and operated by Gourmai Inc. The Developer and the User are collectively the "Parties" and individually a "Party."
1. Intellectual Property Rights
The Product is the Developer's proprietary property, and all source code, functionality, databases, software, designs, graphics, text, trademarks, logos, and other marks (the "Content") are owned by or licensed to the Developer and protected by copyright, trademark, and patent laws and other intellectual property rights and laws of Delaware, foreign jurisdictions, and international conventions.
Unless otherwise specified, the Content shall not be reproduced, copied, distributed, sourced, sold, or exploited without prior written agreement by the Developer. The User's eligibility to use the Product is limited to a license of certain permissible portions of the Product. The User may not use the Content for any purpose other than in accordance with that license, which terminates upon termination of these Terms.
2. Limitation of Liability
The Developer expressly excludes any liability, to the maximum permissible extent under the law, in relation to loss of data, interference in the User's business, or any incidental damages arising from such loss or interference.
The Developer shall not be liable, to the maximum permissible extent under the law, for any damage, loss, or expense (including legal costs), whether direct or indirect, in connection with the User's use of the Product or Content.
The Product and Content are provided for general information only and may be modified at any time without prior notice.
The User acknowledges the Content may contain errors, mistakes, and inaccuracies, and that use of the Product and Content is entirely at the User's own risk.
Neither the Developer nor any third parties provide guarantees or warranties regarding accuracy, completeness, reliability, merchantability, or fitness for a particular purpose of the Product or Content. All warranties, terms, and representations are excluded to the maximum permissible extent except those outlined in these Terms.
3. Delivery
Delivery of any goods ("Goods") ordered from the Product shall be completed within 5 business days. All digital Goods are delivered immediately; the User acknowledges inherent risks with the purchase, downloading, or delivery of digital Goods. For technical problems, the User may contact the Developer using the details below. The Developer is not responsible for damage or loss of Goods during delivery, and replacement of lost or damaged Goods is at the Developer's sole discretion.
4. Returns, Refunds & Repairs
The Developer handles returns, refunds, and repairs under the obligations set in the consumer laws of Delaware. To request a return, the User may contact the Developer using the information below, providing full details about the reason for the request to ensure a prompt response.
5. Termination
The Developer reserves the right to immediately terminate this agreement at any time, with or without cause, including if the User breaches it in any manner.
If the Product ceases to operate for any reason, this agreement is automatically terminated.
A User with a registered account may terminate these Terms at any time by contacting the Developer and requesting removal of the subscription or termination.
Upon termination, any provisions that by their nature survive termination remain in full force and effect, including the "Limitation of Liability" clause. The User shall cease reproducing, advertising, marketing, and distributing any material pertaining to the Products or Content immediately.
6. Privacy & Security
The User agrees not to use the Product or Content for any unlawful purpose, or in any way that could bring damage to the Product, Content, services, or business. The User further agrees not to use the Product or Content:
to harass, abuse, or threaten any other person or otherwise violate their legal rights;
to violate any intellectual property rights of the Developer or any third party;
to upload or disseminate any computer viruses or other software that may damage another's property;
to commit any kind of fraud;
to engage in or create any unlawful gambling, sweepstakes, or pyramid schemes;
to publish or distribute any obscene or defamatory material;
to publish or distribute any material that incites violence, hatred, bullying, harassment, or discrimination, or to launch any dangerous organizations;
to unlawfully gather information about others;
to reverse engineer or attempt to disassemble any code or software from or on the Product;
to violate the security of the Product or Content through unauthorized access, circumvention of encryption or other security tools, data mining, or interference with any host, user, or network.
7. Product or Content Modification
The User acknowledges it is the Developer's sole discretion to modify, delete, or update the Content or Product at any time, and that the Product, Content, and related services may be unavailable from time to time (whether due to maintenance or any other reason).
8. Indemnification
The User agrees to indemnify, defend, and hold harmless the Developer (including all assigns and representatives) in relation to any claim, lawsuit, liability, or expense (including legal costs) arising from or related to the User's use, misuse, or misinterpretation of the Product or Content. The choice of legal representation and participation in any legal proceeding is at the Developer's sole discretion.
9. Arbitration
Any dispute arising out of these Terms shall be resolved by arbitration. There shall be one arbitrator, appointed by Delaware ADR, LLC. The venue and seat of arbitration shall be Delaware. The arbitrator's decision shall be final and binding on both Parties.
10. Assignability
Neither Party may assign these Terms or the rights and obligations hereunder to any third party without the prior express written approval of the other Party, which shall not be unreasonably withheld.
11. Notices
Any notices required or permitted by this agreement shall be in writing and delivered by certified mail or courier to the address below.
12. Modification
No modification of these Terms shall be made unless in writing and signed by both Parties.
13. Severability
If any term, clause, or provision is held invalid or unenforceable by a court of competent jurisdiction, all other terms remain in full force and effect until termination.
14. Governing Law & Jurisdiction
This Agreement is governed by the laws of Delaware. If disputes cannot be resolved by arbitration, they shall be resolved by litigation in the courts of Delaware, including the federal courts therein, and the Parties consent to the jurisdiction of such courts, agree to accept service of process by mail, and waive any jurisdictional or venue defenses otherwise available.
15. Legal & Binding Agreement
These Terms are legal and binding between the Parties. This agreement may be entered into and is legal and binding in Delaware. Each Party represents that it has the authority to enter into this Agreement.
Subscriptions & Auto-Renewal
gourmait is offered as an auto-renewing subscription. Important billing, renewal, and cancellation terms are described in our dedicated Subscription & Auto-Renewal Terms, which form part of these Terms.

These Subscription & Auto-Renewal Terms describe how gourmait subscriptions are billed, renewed, and cancelled. They form part of our Terms & Conditions and are presented to comply with the Delaware Automatic Renewal Law, the California Automatic Renewal Law, and similar consumer-protection statutes.
Clear & Conspicuous Summary
gourmait subscriptions automatically renew. Unless you cancel before the end of your current billing period, your subscription will renew for another period and the payment method on file will be charged at the then-current rate. You may cancel at any time, effective at the end of the current period. There are no cancellation fees.
1. Subscription Plans
gourmait is offered in subscription tiers (such as Essential, Autopilot, and Household+). Pricing, included features, and any optional add-ons (such as the Culinaire by Celeste add-on) are presented to you at the point of purchase before you complete your order. Optional add-ons like Culinaire are purchased separately, on demand, and do not auto-renew.
2. Billing Cycle & Renewal
Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected).
Your subscription automatically renews at the end of each billing period unless you cancel beforehand.
At renewal, we charge the payment method on file the then-current price for your plan.
We will provide any advance notice of renewal or price changes required by applicable law.
3. Free Trials & Introductory Offers
If you start with a free trial or introductory offer, the applicable terms (length and post-trial price) are disclosed at sign-up. Unless you cancel before the trial or introductory period ends, your subscription converts to a paid, auto-renewing subscription at the disclosed rate.
4. How to Cancel
You can cancel your subscription at any time:
In-app: through your account or subscription settings.
App store: if you purchased through the Apple App Store or Google Play, manage and cancel through that store's subscription settings.
By contacting us: email contact@gourmait.com and request cancellation.
Cancellation takes effect at the end of your current billing period. You retain access to paid features until then. We do not provide prorated refunds for partial periods except where required by law.
5. Price Changes
We may change subscription prices. If a price change affects your renewal, we will notify you in advance as required by law, and the change will take effect at your next renewal. If you do not agree, you may cancel before the renewal date.
6. Refunds
Refunds are handled under the consumer laws of Delaware and, where applicable, the policies of the app store through which you purchased. To request a refund, contact us with full details of your request.
7. Failed Payments
If a renewal payment fails, we may retry the charge and may suspend or downgrade your access until payment succeeds. We will attempt to notify you so you can update your payment method.

1. What Health-Related Data We Collect
Food allergies and intolerances you enter for each household profile.
Dietary restrictions and preferences (e.g., heart-healthy, diabetic-friendly).
Health goals and any health conditions you choose to provide.
Infant and child portion settings within a household account.
You provide this information voluntarily. You are not required to enter health details, but doing so enables core safety and personalization features.
2. How We Use It
We use health-related data solely to operate and personalize the service, primarily to ensure AI-generated recipes strictly adhere to the allergy and health constraints you provide. Our safety logic is designed to hard-block meals that conflict with a profile's allergen or health flags, rather than issue soft warnings.
3. How We Protect It
We treat health-related data as sensitive and apply technical and organizational safeguards appropriate to its sensitivity.
We limit internal access to authorized personnel and service providers bound by confidentiality obligations.
We do not use your sensitive personal information for advertising, and we do not sell it.
Where we use data to improve our global AI engine, it is de-identified or aggregated and stripped of personally identifiable information first.
4. Your Controls
You can view, edit, or delete the health-related details in your household profiles at any time within the app. California residents may direct us to limit the use of sensitive personal information; see our California Privacy Rights page. Deleting safety-relevant data may affect the accuracy of allergen protections, so please keep profiles current.
5. Consent
By entering health-related information, you consent to our processing of it for the purposes described here. You may withdraw consent at any time by removing the information or contacting us, subject to the effect this may have on safety features.

gourmait is designed for adults managing a household. This notice explains our approach to children's privacy and supplements our Privacy Policy.
1. The Service Is Not Directed to Children
gourmait is intended for use by adults aged 18 and older. The service is not directed to children under 13, and we do not knowingly collect personal information directly from children under 13 in violation of the Children's Online Privacy Protection Act (COPPA).
2. Information About Children in a Household
As the account holder, you may choose to create household profiles that include children, for example a child's age range, food allergies, or an infant's portion settings. This information is provided by you, the parent or guardian, to enable safe and accurate meal planning for your family. It is associated with your adult account, and the child does not interact with the service directly.
You Are in Control
You decide what household details to enter, and you can view, edit, or delete any child-related information in your profiles at any time. We use this information only to personalize and protect meal planning for your household.
3. No Child-Directed Accounts
We do not permit children to create their own accounts, and we do not market the service to children. If you believe a child has created an account or provided us personal information directly, please contact us so we can take appropriate action.
4. Parental Requests
If you are a parent or guardian and wish to review, correct, or delete information associated with a child in your household, contact us using the details below. We will verify your identity as the account holder before acting on the request.

Data Processing Agreement
Effective: March 17, 2026Gourmai Inc. & Data Processor
This Data Processing Agreement (the "Agreement") is entered into and effective as of March 17, 2026 (the "Effective Date"), by and between Gourmai Inc. (the "Company") and the Data Processor (the "Data Processor"), for the purpose of regulating the particularities of data processing between them. The Company and the Data Processor are collectively the "Parties" and individually a "Party." In consideration of the foregoing and of the mutual covenants contained herein, the Parties agree as follows.
1. Definitions
Confidential Information means all forms of information and data that may contain business and trade secrets, information received about the other Party, and its business connection with this Agreement.
Data means all information processed by the Data Processor.
Territory means the area beyond the boundaries of which the Company does not exert its power or business.
Company Personal Data means any personal data processed by a Contracted Processor on behalf of the Company in connection with the Agreement.
Contracted Processor means any Subprocessor.
Data Transfer means any form of transfer of Company Personal Data to a Contracted Processor.
Subprocessor means any individual appointed by the Data Processor for the purpose of processing Personal Data under this Agreement.
2. Accessibility of Data
The Data Processor is responsible for ensuring the reliability of any employee, agent, or other personnel who may have access to the Company's Personal Data. The Data Processor must ensure that access is limited to authorized members alone, serving no breach or disclosure. All individuals shall be subject to confidentiality undertakings or professional or statutory obligations of confidentiality.
3. Obligation
The Data Processor must comply with all applicable laws under the jurisdiction of the state of Delaware for processing the Company's Personal Data.
The Data Processor shall refrain from processing any unauthorized Personal Data of the Company.
The Company's instructions for processing Company Personal Data are final and shall be obeyed accordingly.
The Data Processor shall promptly notify the Company if it receives any request regarding Company Personal Data.
Unless authorized by the Company, the Data Processor shall not respond to such requests, which must be promptly referred to the extent of applicable jurisdiction laws.
4. Personal Data Breach
The Data Processor must promptly inform the Company of any Personal Data breach affecting the Company's Personal Data, providing adequate information to allow the Company to report or notify the breach under the jurisdiction laws of the state of Delaware. The Data Processor shall assist the Company in the investigation, mitigation, or remediation of such breach.
5. Data Transfer
Unless authorized by the Company, the Data Processor shall not relocate or permit relocation of the Data beyond the Territories mentioned in this Agreement. If Personal Data is transferred beyond the authorized Territory, the Parties must ensure the necessary protection of the Personal Data.
6. Confidentiality
Each Party is obligated to keep all Confidential Information received during the term strictly confidential. Unless previously authorized, the Parties shall not disclose any part of the Confidential Information except to the extent that the information is already in the public domain, or disclosure is made necessary before the law.
7. Term & Termination
This Agreement continues to be effective as of the Effective Date. With mutual consent of termination, the Agreement shall be terminated after the Parties have duly undergone mutual arbitration. Upon termination, a written notice of 5 days before termination is to be sent to both Parties. The Parties are expected to wind up all ongoing business within that period. No Party shall be obligated to the other after termination; however, certain sections must survive termination.
8. Arbitration
Any dispute arising out of this Agreement shall be resolved by arbitration. There shall be one arbitrator, appointed by Delaware ADR, LLC. The venue and seat of arbitration shall be Delaware. The arbitrator's decision shall be final and binding on both Parties.
9. Governing Law
This Agreement is governed by and construed in accordance with the jurisdiction laws of the state of Delaware.
10. Rights
The Data Processor shall have the right to cooperate with the Company by implementing the required technical and organizational measures.
11. Subprocessing
Unless authorized by the Company, the Data Processor shall refrain from appointing or disclosing Personal Data to any Subprocessor.
12. Amendments
No modification or waiver of the provisions of this Agreement shall be valid or binding on either Party unless in writing and signed by both Parties.
13. Counterparts
This Agreement may be executed singly or in multiple counterparts, each of which shall constitute an original.
14. Notices
All notifications regarding this Agreement shall be conducted in written form and delivered either in person or via certified mail.
15. Entire Agreement
This Data Processing Agreement and all attachments within it constitute the entire agreement and supersede any prior written or verbal agreements.
Execution
In witness whereof, the undersigned Parties duly execute the terms proposed herein as of the Effective Date. Signature blocks for the Data Processor and Gourmai Inc. (name, signature, date) are completed at execution. This published version is provided for reference; executed counterparts are held by the Company.

Kitchen Partner Terms & Conditions

These Kitchen Partner Terms & Conditions (the "Partner Terms") govern participation in the gourmait Culinaire by Celeste program by a kitchen, restaurant, or food-preparation business ("Partner," "you"). They are entered into between the Partner and Gourmai Inc. ("Company," "gourmait," "we"). By submitting an application or accepting an order, the Partner agrees to these Partner Terms. These Partner Terms are separate from the consumer Terms & Conditions and customer subscriptions.
Founding Partners
Founding partners pay no platform fees to start. Specific economics, payout rates, and any future fees are set out in your onboarding agreement, which forms part of these Partner Terms.
1. Eligibility
To participate, a Partner must operate a lawful food-preparation business, including but not limited to a commercial prep kitchen, restaurant, ghost or cloud kitchen, or catering operation, and must:
Hold and maintain all licenses, permits, and certifications required by applicable local, state, and federal law;
Maintain current food-safety certifications and comply with all health-code requirements;
Carry and maintain adequate general liability and any legally required insurance;
Have the equipment and capacity to fulfill accepted orders to gourmait's quality and timing standards.
2. The Partner Relationship
The Partner is an independent business. Nothing in these Partner Terms creates an employment, agency, partnership, or joint-venture relationship between the Partner and gourmait. The Partner retains control over its own staff, premises, and methods, subject to the quality and safety standards described here and in onboarding.
3. Orders & Culinary Briefs
gourmait routes household meal orders to the Partner through the partner portal, each accompanied by a culinary brief generated by Celeste, including meals, portions, allergen and health flags, and prep guidance.
The Partner may accept or decline orders based on capacity, subject to any acceptance commitments agreed during onboarding.
Ingredients for an order may be routed to the Partner's kitchen via the customer's grocery order; the Partner is responsible for confirming receipt and condition of ingredients.
Meals are prepared fresh and made available for customer pickup on the schedule set with the customer. The Partner must not substitute frozen preparation for fresh without authorization.
4. Food Safety & Allergen Compliance
Food safety is paramount. The Partner must:
Strictly observe every allergen and health flag in each culinary brief, and prevent cross-contamination;
Prepare, label, and package each meal per household member as specified in the brief;
Follow all applicable food-handling, storage, temperature, and hygiene requirements;
Immediately notify gourmait of any food-safety incident, contamination concern, or inability to meet an allergen requirement for an accepted order.
Zero Tolerance on Allergens
Because gourmait's customers rely on allergen accuracy for the safety of their households (including children and infants), any disregard of allergen or health flags is a material breach of these Partner Terms and may result in immediate removal from the program.
5. Quality Standards
The Partner agrees to prepare meals that meet gourmait's reasonable quality, freshness, and presentation standards as communicated during onboarding and updated from time to time. gourmait may collect customer ratings and feedback and may use them to evaluate continued participation.
6. Payments
The Partner is paid for fulfilled orders on a regular cycle, typically via ACH, at the rates and on the schedule set out in the onboarding agreement. gourmait's platform share, where applicable, covers AI, logistics coordination, customer service, and payment processing. The Partner is responsible for its own taxes arising from payments received.
7. Customer Relationship & Non-Solicitation
gourmait owns the customer relationship and is responsible for customer service and the overall experience. The Partner agrees not to solicit gourmait customers introduced through the platform for the Partner's own competing meal-fulfillment service during participation and for a reasonable period afterward, as specified in onboarding.
8. Brand & Intellectual Property
gourmait grants the Partner a limited, revocable, non-exclusive license to use gourmait's name and marks solely as needed to participate in the program and as permitted in any co-marketing arrangement. The Partner gains no other rights in gourmait's intellectual property, including the Celeste platform and the culinary briefs, which remain gourmait's property.
9. Confidentiality
Each party will keep the other's non-public business information confidential, including order data, customer information, pricing, and platform details, and will use it only to perform under these Partner Terms. The Partner must protect all customer personal data received and handle it in accordance with gourmait's Privacy Policy and applicable law. 10. Insurance & Indemnification
The Partner will maintain appropriate insurance and agrees to indemnify, defend, and hold harmless gourmait from claims, liabilities, and expenses arising from the Partner's preparation, handling, or packaging of meals, its breach of these Partner Terms, or its violation of any law, including food-safety and allergen requirements.
11. Term & Termination
Either party may terminate participation on written notice as described in onboarding.
gourmait may suspend or immediately terminate a Partner for food-safety violations, allergen non-compliance, repeated quality or reliability failures, loss of required licensing, or breach of these Partner Terms.
Obligations that by their nature survive, including confidentiality, non-solicitation, indemnification, and payment for fulfilled orders, continue after termination.
12. Limitation of Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages arising from the program, except that nothing limits the Partner's indemnification obligations or either party's liability for gross negligence, willful misconduct, or breach of confidentiality.
13. Governing Law & Disputes
These Partner Terms are governed by the laws of the State of Delaware. Any dispute will be resolved by arbitration before a single arbitrator appointed by Delaware ADR, LLC, seated in Delaware, with the decision final and binding, except that either party may seek injunctive relief to protect confidential information, intellectual property, or public safety.
14. Changes
gourmait may update these Partner Terms; material changes will be communicated to active Partners. Continued participation after an update constitutes acceptance.
